Source Terms of Service

These Terms of Service ("Terms of Service") govern your access to and use of Source ("Source", "We", "Us" or "Our"), a platform operated by The Learmond Corporation. By creating an account, accessing, or using Source or any related services, you agree to these Terms. If you do not agree, do not use Source.

1. Overview

Source is a financial services platform offering account management, payments, payroll, and related services. These "Terms of Service" describe your rights and responsibilities when you use the Platform and its services.

2. Definitions

Account means your registered account on Source. Business Account means an account registered to an organization that uses Source for payroll and payments. Personal Account means an individual account used for sending and receiving payments and other personal finance features. Employee Account means an account created for an individual by an invited Business Account for payroll and employment-related features.

3. Eligibility and Account Types

You must be at least 13 years old to create a Source account. To use payroll or employee features you must be at least 17 years old. Source supports three account types: Personal, Employee, and Business. All accounts must be verified and validated before they can use any of Source's two services, sending and receiving payments, and payroll management. Each account type has specified verification requirements.

4. Account Registration, Verification, and KYC

When creating your Account you must provide accurate, complete, and up-to-date information. We may suspend or terminate Accounts that contain false or misleading information. Source complies with Know Your Customer (KYC) and anti-money-laundering (AML) requirements. To use payments, payroll, or other regulated services you will need to complete verification steps and upload identity or business documents as applicable, such as a government-issued ID, Social Security Number (SSN), Employer Identification Number (EIN), or Articles of Organization. Accepted file types are PDF, JPG, and PNG, and uploaded files should generally be no larger than 10 MB each. Business Accounts must provide business details and identify at least one authorized representative with required documentation. Employee Accounts are created via invitation from a Business Account and require the employee to complete identity and tax information (for example, W-4, direct deposit, and SSN) before payroll features are available.

5. Services Provided

Source provides payments functionality that enables verified users to send funds to other Source accounts, receive funds from other Source accounts, and, where supported, to external payment rails. Source also provides payroll processing for Business Accounts which includes automated tax calculation, tax filings, and year-end forms such as W-2s. Additional features may include a digital wallet, time tracking, and enterprise-oriented tools for qualifying Business Accounts.

6. Fees and Billing

Source applies fees to certain transactions and services. Source charges a flat rate fee of 12% for all transactions on the platform. Taxes and any other statutory fees may also apply where required by law. Source does not offer any subscription services.

7. Refunds and Failed Transactions

When funds are incorrectly debited or a reversal is required, refunds will generally equal the original transaction amount. Specific refund processes are governed by our Billing and support policies. If a transaction fails, Source will notify you and may attempt one retry depending on the failure reason. Repeated failed transactions may result in account restrictions or suspension.

8. Security and Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. We strongly recommend using a strong, unique password and enabling two‑factor authentication (2FA) for additional protection. You should periodically review active sessions and revoke any that you do not recognize. Report suspicious activity to Source support immediately so we can help secure your Account.

9. Intellectual Property

All Source content, trademarks, logos, and software are owned or licensed by The Learmond Corporation. Subject to these Terms, we grant you a limited, revocable, non-transferable license to access and use Source for your internal, non-commercial purposes. You may not copy, modify, distribute, or create derivative works of Source content except as expressly permitted by us in writing.

10. Acceptable Use and Prohibited Conduct

You must not use Source for illegal, fraudulent, or harmful activities. You must not attempt to gain unauthorized access to Source systems or other users' accounts. You must not interfere with Source's operation or security, and you must not copy or distribute Source content except as expressly permitted.

11. Employees, Payroll, and Employer Responsibilities

Business Accounts are responsible for ensuring they have authority to process payroll and wages and must provide accurate employee information and ensure compliance with applicable employment and tax laws. Source provides automated tax calculations and certain filings based on the information provided by the Business Account; Business Accounts remain responsible for the accuracy of submitted employee and payroll data.

12. Limitation of Liability

To the maximum extent permitted by law, The Learmond Corporation will not be responsible for indirect, incidental, special, or consequential damages arising from your use of Source. Our aggregate liability for claims related to Source will be limited to the fees you paid to Source during the 12 months preceding the claim, or $100, whichever is greater.

13. Termination and Suspension

We may suspend or terminate your Account for violation of these Terms or for legal, security, or operational reasons. Termination does not relieve you of obligations accrued prior to termination, including outstanding fees.

14. Dispute Resolution and Governing Law

These Terms are governed by the laws of the jurisdiction where The Learmond Corporation is incorporated, without regard to conflict-of-law principles. Any legal dispute will be subject to the courts of that jurisdiction unless otherwise required by applicable law.

15. Changes to These Terms

We may update these Terms from time to time. Where required by law or where material changes occur, we will provide notice within Source. Continued use of Source after changes are posted constitutes acceptance of the revised Terms.

16. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. By using Source you agree to the Privacy Policy; see the Privacy Policy page for details on data practices, retention, and choices.

17. Support

Support requests may be submitted through Source's Support page or via email at support@thelearmondcorporation.com. For routine inquiries we aim to respond within 24 hours; response times for complex or investigatory matters may be longer.

18. Relation to the Master Terms of Service

These "Terms of Service" are subsequent to and controlled by The Learmond Corporation's Master Terms of Service.
